This policy outlines the intellectual property rights and ownership terms for all deliverables created by Black Tiger Digital for our clients. We believe in transparency and clarity when it comes to who owns what.

Overview

When you work with Black Tiger Digital, various types of intellectual property are created, used, and exchanged. This policy clarifies ownership rights for each type of asset to ensure there are no misunderstandings.

Client Ownership

Custom work created specifically for you, including designs, content, and configurations unique to your project.

BTD Ownership

Pre-existing tools, frameworks, methodologies, and reusable components that we use across multiple projects.

The Simple Rule: If we created it specifically and exclusively for you, you own it upon full payment. If it existed before your project or will be used for other clients, we retain ownership but grant you a license to use it.

What You Own

Upon full payment of all invoices, you own the following deliverables outright with full intellectual property rights:

Custom Website Designs
The unique visual design, layout, and user interface created specifically for your website, including mockups and final design files.
Original Content
All written copy, blog posts, page content, and marketing materials we create specifically for your brand.
Custom Graphics and Illustrations
Original graphics, icons, illustrations, and visual assets designed exclusively for your project.
Custom Code and Functionality
Bespoke code, scripts, and custom functionality developed specifically for your unique requirements.
Your Data and Content
All data you provide or that is generated through your website (leads, customer information, analytics data).
Domain Names
Any domain names registered on your behalf or transferred to you during the project (registered in your name).
Full Rights: For all items listed above, you receive full, exclusive, perpetual, worldwide rights to use, modify, distribute, and sell as you see fit.

What Black Tiger Digital Retains

We retain ownership of the following assets, which we license to you for use in your project:

Frameworks and Templates
Pre-built website frameworks, starter templates, and structural components we have developed over time.
Proprietary Tools and Plugins
Custom tools, plugins, scripts, and utilities we have developed that are used across multiple client projects.
Automation Workflows and Systems
Reusable automation templates, workflow structures, and integration patterns used in our engines.
Methodologies and Processes
Our strategic approaches, project methodologies, documentation templates, and business processes.
Reusable Code Libraries
Generic code snippets, functions, and libraries that are not specific to your project.
License Grant: For all items we retain ownership of, we grant you a non-exclusive, perpetual license to use them as part of your deliverables for as long as your project remains active. This license allows your website to function properly.

Third-Party Assets and Licenses

Your project may include third-party assets that are neither owned by you nor by Black Tiger Digital. These are governed by their respective licenses.

WordPress Themes Premium themes, starter themes GPL or commercial license
Plugins and Extensions WordPress plugins, integrations GPL or commercial license
JavaScript Libraries jQuery, React, Bootstrap MIT, Apache, or similar open-source
Premium Licenses
For premium assets requiring paid licenses, we will either include the cost in your quote or advise you to purchase directly.
License Compliance
We ensure all third-party assets are properly licensed for your intended use (commercial website, etc.).

Transfer of Ownership

Ownership of client deliverables transfers according to the following terms:

Full Payment

Ownership transfers only upon receipt of full payment for the project, including all invoices and outstanding balances.

Upon Launch

For most projects, ownership effectively transfers when your website goes live and final payment is received.

Written Confirmation

Upon request, we can provide written confirmation of ownership transfer for your records.

Until Full Payment: Black Tiger Digital retains all intellectual property rights to deliverables until payment is received in full. We reserve the right to withhold files, disable access, or remove work if payment obligations are not met.

Portfolio and Promotional Rights

We take pride in the work we create and appreciate the opportunity to showcase it. By default, we retain the right to use completed work for promotional purposes.

Testimonials and reviews

Portfolio and case studies
Social Media
LinkedIn, Instagram, etc.
Proposals
Sales and pitch materials
Opt-Out Available: If you prefer your project not be used for promotional purposes, please let us know in writing before or during the project. We will honor all confidentiality requests.

Upon Termination or Cancellation

If our working relationship ends, the following terms apply to intellectual property and deliverables:

If Fully Paid

  • You retain ownership of all client deliverables
  • We provide all source files and assets
  • Access credentials are transferred to you
  • We assist with transition to new provider

If Not Fully Paid

  • We retain ownership of all deliverables
  • Work may be removed or disabled
  • Source files are not provided
  • Access may be revoked

What You Always Keep

Regardless of payment status, you always retain ownership of:

Content and copy you provided to us
Images and media you supplied
Your existing brand assets and logos
Your customer and business data
